(UEN: 202606962W) ("Nubio," "Company," "we," "us," or "our") collects, uses, processes, stores, shares, and otherwise handles data in connection with our websites, platforms, applications, APIs, and services (collectively, "Services"). By accessing or using the Services in any manner, you consent to the data practices described in this Policy. If you do not agree, you must immediately cease use of the Services.

This Policy applies globally to all users regardless of location. The Services are operated from Singapore, and all data is processed under the laws of the Republic of Singapore, including the Personal Data Protection Act 2012 ("PDPA"). By using the Services, you consent to the transfer and processing of all data in Singapore in accordance with Singapore law.

3.1 Information You Provide

Account Information: Name, email address, phone number, company name, job title, billing information, payment details, authentication credentials, and any other information you provide during registration, account setup, or use of the Services.

Customer Data: All data, content, inputs, prompts, files, documents, configurations, and materials you submit to the Services, including data belonging to or concerning third parties such as your customers, end users, employees, partners, vendors, or any other persons. You represent and warrant that you have all necessary rights, consents, and authorizations to provide such data.

Communications: Content of all communications with Nubio, including emails, chat messages, support requests, phone calls, video calls, and feedback.

Business Information: Company data, industry information, operational metrics, financial information, and any other business intelligence shared with us.

3.2 Information Collected Automatically

Technical Data: IP addresses, device identifiers, device type, browser type and version, operating system, hardware configuration, network information, unique device tokens, and mobile advertising identifiers.

Usage Data: Pages visited, features used, actions taken, time spent, click patterns, scroll behavior, navigation paths, search queries, interaction patterns, session duration, and frequency of use.

Location Data: Geographic location derived from IP address, GPS data (where available and permitted), Wi-Fi access point data, and timezone information.

Tracking Technologies: Data collected through cookies, web beacons, pixels, local storage, session storage, device fingerprinting, SDKs, and similar technologies (see our Cookie Policy for details).

3.3 Information from Third Parties

We may receive information about you from third parties, including business partners, marketing partners, social media platforms, data brokers, analytics providers, credit reporting agencies, and publicly available sources. We may combine this information with other information we collect about you to create comprehensive profiles and improve our Services.

4. How We Use Your Information

AI Development and Training: To train, develop, test, validate, calibrate, enhance, and improve our artificial intelligence systems, machine learning models, World Models, neural networks, algorithms, and any other technology, using any and all data collected through the Services. You acknowledge and agree that this is a core purpose of the Services and that data used for AI training may become permanently incorporated into our models and cannot be extracted.

Research and Analytics: To conduct research, generate analytics and insights, create aggregated and de-identified data products, publish research findings, develop benchmarks, and develop new products, services, and features.

Communications: To send service updates, technical notices, security alerts, administrative messages, marketing communications, and promotional materials. You may opt out of non-essential marketing communications.

Personalization: To personalize and improve your experience, provide targeted content and recommendations, and optimize the Services.

Safety and Security: To detect, prevent, and address fraud, abuse, security threats, technical issues, and violations of our Terms of Use.

Business Operations: To facilitate business transactions, corporate restructuring, mergers, acquisitions, asset sales, financings, and general business operations, including sharing data with potential acquirers, investors, and advisors.

Legal Compliance: To comply with legal obligations, respond to lawful requests and legal process, enforce our Terms, and protect our rights, property, and safety.

Any Other Purpose: For any other purpose disclosed at the time of collection or for which you provide consent, and for any purpose that is reasonably compatible with the original purpose of collection.

5. Data Sharing and Disclosure

Service Providers: With third-party vendors, contractors, and service providers who assist in our operations, subject to contractual obligations regarding data handling.

AI Ecosystem: With partners, researchers, and institutions for AI research, model development, and technology advancement, using aggregated, anonymized, or de-identified data.

Aggregated Data: We may share, sell, license, or otherwise commercialize aggregated, anonymized, de-identified, or derivative data without restriction and without notice or compensation to you. Such data shall not be considered personal data.

Legal Requirements: When required by law, regulation, legal process, court order, or governmental request, or when we believe disclosure is necessary to comply with applicable law.

Protection of Rights: To protect our rights, property, safety, or the rights of others, investigate potential violations of our Terms, or respond to emergencies.

Corporate Transactions: In connection with mergers, acquisitions, divestitures, reorganizations, dissolutions, bankruptcies, or sale of assets, where data may be transferred as a business asset. In such event, your data may be transferred to the acquiring entity, which may have different privacy practices.

6. International Data Transfers

All data is primarily processed in Singapore and may be transferred to, stored, and processed in other countries where Nubio or its service providers operate, including countries that may not provide the same level of data protection as your home jurisdiction. By using the Services, you explicitly consent to such transfers regardless of your location. Singapore law governs all data processing activities, and you waive any claims based on data protection laws of other jurisdictions to the maximum extent permitted by applicable law.

If you are located in the European Economic Area, United Kingdom, or other jurisdiction with cross-border data transfer restrictions, you consent to the transfer of your data to Singapore and acknowledge that Singapore may not have been recognized as providing an adequate level of data protection. Your consent under this Policy serves as the legal basis for such transfers.

7. Data Retention

We retain data for as long as necessary to fulfill the purposes described in this Policy, which may be indefinitely. Specifically: (a) Account data is retained for the duration of your account and for a minimum of seven (7) years after account closure for legal, regulatory, and business purposes; (b) Customer Data may be retained indefinitely in any form, including aggregated, anonymized, de-identified, or derivative form; (c) Data used for AI training and model development is retained permanently, as it becomes incorporated into model weights and parameters that cannot be separated; (d) Usage and technical data is retained for analytical and security purposes for a minimum of five (5) years.

We have no obligation to delete data upon request except as specifically required by applicable Singapore law (including the PDPA), and any deletion may be limited to active databases while backup, archival, and derivative copies (including AI models trained on such data) may be retained indefinitely. Deletion of data from trained AI models is technically infeasible, and you acknowledge and accept this limitation.

8. Your Rights and Choices

Depending on applicable law, you may have certain rights regarding your personal data:

Under the PDPA: Singapore residents may request access to or correction of personal data held by Nubio, subject to exceptions under the PDPA. Requests may be directed to legal@nubio.world. We reserve the right to charge a reasonable fee for processing access requests as permitted under the PDPA.

Under GDPR (where applicable): If you are located in the EEA and the GDPR applies to our processing of your data, you may have additional rights including access, rectification, erasure, restriction of processing, data portability, and objection. However, these rights are subject to legitimate exceptions and may be limited where data has been incorporated into AI models. Contact legal@nubio.world to exercise such rights.

Under CCPA (where applicable): If you are a California resident and the CCPA applies, you may have the right to know what personal information we collect, request deletion, and opt out of the sale of personal information. Contact legal@nubio.world for CCPA requests.

General Limitations: We reserve the right to verify your identity before processing any request. We may deny requests that conflict with legal obligations, legitimate business interests, contractual commitments, or technical limitations (such as removal from trained AI models). We may charge reasonable fees for manifestly unfounded, repetitive, or excessive requests. Response times will comply with applicable law but may take up to sixty (60) days for complex requests. Your primary choice is whether to use the Services; continued use constitutes consent to this Policy.

9. Data Security

We implement reasonable administrative, technical, and physical security measures designed to protect data against unauthorized access, alteration, disclosure, or destruction. These measures include encryption, access controls, regular security assessments, and employee training. However, no method of transmission over the internet or electronic storage is completely secure, and we cannot guarantee absolute security. You acknowledge that you provide data at your own risk.

To the maximum extent permitted by applicable law, Nubio shall have no liability for any unauthorized access, data breach, security incident, data loss, or data corruption, regardless of the cause, and the limitations of liability set forth in our Terms of Use shall apply to all such incidents.

10. Data Breach Notification

In the event of a notifiable data breach as defined under the PDPA or other applicable law, we will comply with all applicable notification requirements. Notifications will be provided in the manner and timeframes required by applicable law (which under the PDPA requires notification to the Personal Data Protection Commission within three (3) calendar days of assessment that the breach is notifiable). Nubio's liability for any data breach is limited as set forth in our Terms of Use. Nubio shall not be liable for data breaches caused by your acts or omissions, third-party actions, or force majeure events.

11. Children's Privacy

The Services are not directed to individuals under 18 years of age. We do not knowingly collect personal data from children under 18. If you believe a child has provided data to us, contact us at legal@nubio.world and we will take reasonable steps to delete such data from our active systems, subject to the technical limitations described in Section 7 regarding AI-trained models.

12. Third-Party Links and Services

The Services may contain links to third-party websites, services, or applications. Nubio is not responsible for the privacy practices, content, or security of any third-party sites or services. We encourage you to review the privacy policies of any third-party sites you visit. Nubio shall have no liability arising from your use of third-party sites or services.

13. Changes to This Policy

Nubio reserves the right to modify this Privacy Policy at any time, in its sole discretion, without prior notice. Changes are effective immediately upon posting to our website or Services. The "Effective Date" or "Last Updated" date at the top indicates the most recent revision. Your continued use of the Services after any modification constitutes your binding acceptance of the updated Policy. It is your sole responsibility to review this Policy periodically. We may, but are not obligated to, notify you of material changes via email or through the Services.

14. Governing Law and Dispute Resolution

This Policy is governed exclusively by the laws of the Republic of Singapore, including the Personal Data Protection Act 2012, without regard to conflict of law principles. Any disputes arising out of or relating to this Policy shall be resolved exclusively in Singapore through binding arbitration administered by the Singapore International Arbitration Centre (SIAC) as set forth in our Terms of Use. You waive any objection to jurisdiction, venue, or inconvenient forum in Singapore.
